Terms of Service
These Terms of Service (“Terms”) are a binding agreement between Cyber Security Services (“AILeakShield,” “we,” “us,” or “our”) and the entity or individual that creates an account for, accesses, or uses the AILeakShield service (“you” or “Customer”). Please read them carefully. They include important limitations on our liability and obligations.
1. Acceptance of these Terms
By creating an account, clicking “I agree,” signing an order form that references these Terms, or otherwise accessing or using the Service, you accept these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” and “Customer” refer to that organization. If you do not agree to these Terms, do not access or use the Service.
2. The Service
AILeakShield is a hosted, web-based platform that lets authorized users sign in with Microsoft single sign-on, choose from AI models that the Customer’s administrators have approved, and submit prompts that pass through AILeakShield’s protection layer before being sent to the selected AI provider. Based on Customer-configured policy and AILeakShield’s detection logic, the protection layer may warn the user, mask portions of a prompt, block a prompt, or allow a prompt to proceed. The Service may be updated from time to time. The Service does not currently include document uploads, automatic document generation, browser plug-ins, endpoint agents, or network-proxy routing.
3. Risk reduction, not a guarantee — important
AILeakShield is a risk-reduction service. It is designed to lower — not eliminate — the likelihood and impact of AI-related data exposure. AILeakShield does not, and does not promise to, detect, warn about, mask, block, or otherwise prevent every sensitive item, every risky prompt, every potential data leak, every compliance issue, every security incident, or every problem caused by an AI provider. AILeakShield’s outputs may produce false positives and false negatives. The Service is not a substitute for your security program, your compliance program, qualified professional advice, or human judgment. You are responsible for the data you and your users send through the Service and for the decisions you make based on AILeakShield’s signals.
4. No professional advice
AILeakShield does not provide legal, regulatory, compliance, accounting, tax, medical, or other professional advice. Any informational content we publish, and any signals or summaries produced by the Service, are not a substitute for advice from qualified professionals.
5. Accounts and authorized users
You are responsible for: (a) the accuracy of the information you provide when registering or configuring the Service; (b) maintaining the security of your Microsoft SSO accounts and other credentials used with the Service; (c) all activity that occurs under your account; and (d) ensuring that authorized users (employees, contractors, and others you permit) comply with these Terms. You will notify us promptly of any unauthorized access to your account.
6. Acceptable use
You will not, and will not permit any user to:
- Use the Service to violate any law, regulation, or third-party right, including intellectual property and privacy rights;
- Submit through the Service any prompts or content you do not have the right to submit, or that you are prohibited from sharing with the relevant AI provider;
- Attempt to gain unauthorized access to the Service, other accounts, or AILeakShield’s systems, or interfere with or disrupt the Service;
- Use the Service to develop, train, or benchmark a competing product;
- Reverse engineer, decompile, or disassemble the Service except to the extent applicable law expressly permits;
- Use the Service to generate or distribute malware, illegal content, or content that targets, harasses, or harms others;
- Bypass or attempt to bypass the protection layer, usage caps, plan limits, or administrator policies;
- Submit personal information of third parties through the Service in violation of applicable privacy law or your own commitments to those individuals.
7. AI providers and AI outputs
When a user selects an AI model, the prompt that emerges from AILeakShield’s protection layer is transmitted to the third-party AI provider that hosts that model. The AI provider processes that prompt and returns a response under its own terms, privacy practices, and operational controls. AILeakShield does not control AI providers and does not warrant their availability, performance, content moderation, retention practices, or output. AI outputs may be inaccurate, incomplete, biased, offensive, infringing, or unsuitable for your purpose. You are solely responsible for evaluating AI outputs before relying on them, and for complying with each AI provider’s terms when you use that provider through the Service.
8. Plan limits, usage caps, and fees
If you have a paid subscription, fees, billing terms, plan limits, and usage caps are set out in your order form, plan description, or other ordering document. We may apply rate limits, feature restrictions, fair-use thresholds, or per-user caps to protect the Service or to comply with our agreements with AI providers. Fees are non-refundable except as required by law or as expressly stated in your order form. We may change pricing for renewal terms with prior notice.
9. Third-party services
The Service relies on third-party services, including Microsoft Azure infrastructure, Microsoft identity (SSO), and the AI providers selected by you or your users. Third-party services are governed by their own terms. We are not responsible for, and expressly disclaim liability for, the acts, omissions, outages, content, or security of third-party services.
10. Service availability and changes
We work to keep the Service available, but the Service is provided on an “as available” basis. The Service may be unavailable from time to time due to maintenance, updates, third-party outages (including AI providers and Azure), security events, or causes beyond our reasonable control. We may add, modify, or remove features. Unless a separate written service-level agreement applies, we do not guarantee specific uptime, latency, or performance.
11. Customer data and confidentiality
As between the parties, you retain all rights in the data and content you submit through the Service (“Customer Data”). You grant us a limited, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to provide and support the Service, to comply with law, and to enforce these Terms. Each party will protect the other’s confidential information using at least the care it uses for its own confidential information of similar sensitivity.
12. Privacy and data handling
Our handling of personal information is described in our Privacy Policy at https://www.aileakshield.com/privacy. Prompt text and contextual AI inputs are removed at the end of each calendar day. Account, billing, security, support, and service-log records may be retained as needed to operate the Service. The Service is hosted on Microsoft Azure infrastructure in continental United States Azure regions.
13. Intellectual property
AILeakShield, the Service, our software, our documentation, our trademarks, and all related intellectual-property rights are owned by Cyber Security Services and our licensors. We grant you a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription, subject to these Terms. We may use anonymized, aggregated information derived from operation of the Service to operate, secure, and improve the Service. No rights are granted to you except as expressly stated in these Terms.
14. Feedback
If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide right to use them without restriction or compensation.
15. Disclaimers
To the maximum extent permitted by applicable law, the service, the website, and all aileakshield materials are provided “as is” and “as available,” with all faults and without warranty of any kind. Aileakshield and its affiliates, licensors, and suppliers disclaim all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising out of course of dealing or usage of trade. Without limiting the foregoing, aileakshield does not warrant that the service will detect, warn about, mask, block, or prevent every sensitive item, every risky prompt, every potential data leak, every compliance issue, every security incident, or every problem caused by an ai provider; that the service will be uninterrupted, timely, secure, or error-free; or that ai outputs will be accurate, complete, or suitable for your purpose.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) Excluded damages. AILeakShield, its affiliates, and its and their officers, directors, employees, agents, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; for any loss of profits, revenue, business, goodwill, anticipated savings, or data; for any cost of substitute products or services; for any business interruption; for any reputational harm; for any security incident, data loss or exposure, or compliance failure; or for any AI-provider error, output, interruption, or content — even if AILeakShield has been advised of the possibility of such damages and even if any limited remedy fails of its essential purpose.
(b) Aggregate cap. AILeakShield’s total cumulative liability arising out of or relating to these Terms, the Service, or the Website, whether in contract, tort (including negligence), strict liability, statute, or otherwise, will not exceed the greater of (i) the fees you actually paid to AILeakShield for the Service in the three (3) months immediately before the event giving rise to the liability, or (ii) one hundred U.S. dollars (US$100) if you have no paid subscription.
(c) Allocation of risk. The parties agree that the warranty disclaimers and the limitations of liability in these Terms reflect a reasonable allocation of risk and are an essential basis of the bargain between us. The Service would not be provided to you on these economic terms without these limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In that case, our liability is limited to the smallest extent permitted by applicable law.
17. Indemnification
You will defend, indemnify, and hold harmless AILeakShield and its affiliates and their respective officers, directors, employees, and agents from and against any third-party claims, actions, demands, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your or your users’ use of the Service; (b) Customer Data and the prompts and content submitted through the Service; (c) your or your users’ violation of these Terms, an AI provider’s terms, or applicable law; (d) any product or service you build or operate using the Service; and (e) your or your users’ violation of any third-party right, including intellectual-property and privacy rights. We will give you prompt notice of the claim, allow you to control the defense (subject to our right to participate with counsel of our choice at our expense), and provide reasonable cooperation. You may not settle a claim that admits liability on our behalf or imposes obligations on us without our prior written consent.
18. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if: (a) we reasonably believe you have violated these Terms or applicable law; (b) your use poses a security, legal, or operational risk to AILeakShield, an AI provider, or another customer; (c) you fail to pay fees when due; or (d) we discontinue the Service or a feature. You may stop using the Service at any time. Termination does not relieve you of fees already accrued. Sections that by their nature should survive termination — including ownership, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.
19. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of the Terms and, if the changes are material, provide additional notice (for example, by email or in-product notice). Your continued use of the Service after the update takes effect means you accept the updated Terms. If you do not agree, your sole remedy is to stop using the Service.
20. Governing law and disputes
These Terms are governed by the laws of the state where Cyber Security Services is organized, without regard to its conflict-of-law principles, and by applicable U.S. federal law. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
21. Miscellaneous
These Terms, together with any order form and our Privacy Policy, are the entire agreement between the parties with respect to the Service and supersede prior or contemporaneous agreements on that subject. If any provision of these Terms is held unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of substantially all of our assets. Notices to you may be sent to the email or postal address on file. Notices to us must be sent to security@aileakshield.com with a copy to Cyber Security Services, 752 N. State Street #172, Westerville, Ohio.
